Facility Corporation Boards
The goal of the facility corporation board is to provide a safe, comfortable, and attractive facility that enhances a Theta member's college experience. Generally, the FCB role is that of a landlord who maintains a completely furnished "home" for the college chapter. If the chapter lives in or rents university-owned property, the FCB usually owns the furnishings and may decorate and/or maintain the facility. Facilities should compare favorably with those of other National Panhellenic Conference groups on each campus.
Although a fraternity is composed of much more than attractive, adequate housing, it is recognized that Kappa Alpha Theta is judged not only by its members but also by the exterior and interior appearance, quality of the facility it maintains, and the resources it provides the membership.
Organization of FCBs
Each FCB is organized by local Theta alumnae and incorporated according to the laws of the state or province in which the college chapter is located. Facility corporation membership is limited to members of Kappa Alpha Theta as stated in the facility corporation's bylaws. As in any other lawfully organized corporation, no officer or member undertakes personal financial responsibility for the obligations of the chapter facility corporation. However, it is important for each corporation to observe all applicable corporate formalities (i.e., holding annual meetings, taking minutes of the meeting, etc.) and operate according to the corporation's duly adopted bylaws in order to maintain its bona fide corporate status.
Board of Directors
The board of directors conducts the business of the facility corporation on behalf of the members of the corporation. The board of directors must include as voting members the college chapter's current president, vice-president finance, facility manager, finance advisor, and the number of alumnae officers specified in the corporation's bylaws. Alumnae members of the facility corporation board of directors are elected at the annual facility corporation meeting, usually for two- or three-year terms. Provisions in the FCB articles of incorporation shall specify the number and length of service of board members. When a new chapter of Kappa Alpha Theta is established, a facility corporation must be established early in the colonizing process.
